Terms of Service

Effective date:

These Terms of Service (the "Terms") are an agreement between you and Slop ("we", "us" or "our") and govern your use of the Slop website, application and related services (the "Service"). Please read them carefully. They contain a binding arbitration clause and a class action waiver in Section 16 that affect how disputes are resolved.

1. Acceptance and changes

By accessing or using the Service, connecting a wallet, signing in, or clicking a button that says you accept, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

We may change these Terms from time to time. When we make a material change we will update the effective date at the top of this page and, where the Service supports it, ask you to accept the new version before you continue. Your continued use of the Service after a change takes effect means you accept the changed Terms. If you do not accept them, stop using the Service.

2. Eligibility

You may use the Service only if all of the following are true:

  • You are at least 18 years old and have the legal capacity to enter into these Terms.
  • You are not a person or entity listed on, owned or controlled by a person or entity listed on, or acting on behalf of a person or entity listed on any sanctions list maintained by the United States (including the OFAC Specially Designated Nationals list), the European Union, the United Kingdom or the United Nations.
  • You are not located in, organized under the laws of, or ordinarily resident in a jurisdiction where we do not offer the Service. As of the effective date those jurisdictions are Cuba, Iran, North Korea, Syria, Russia, Belarus and United Kingdom. We may add or remove jurisdictions at any time, and we may block requests from these jurisdictions at the network level.
  • Your use of the Service is legal where you live and where you are when you use it.
  • You have not previously been suspended or removed from the Service.

We may require you to confirm the above at any time and may refuse, suspend or terminate access if we believe you do not meet these requirements.

3. Nature of the Service

Slop is a software interface. It lets you view tokens launched on the Metaplex Genesis protocol on the Solana blockchain, build transactions to buy and sell those tokens, and launch tokens of your own. Everything else happens on public blockchain infrastructure and third-party services that we do not control.

  • Non-custodial. We never hold, control or have access to your tokens, your SOL or your private keys. Transactions are built in your browser and signed by your wallet. We cannot reverse, cancel or recover a transaction once it is signed and sent. Where we operate an automated service that sends transactions on the network (see Section 9), that service only pays network fees and has no authority over any funds. The exception is a promotional "free launch" service, when offered: there, that service builds and signs the launch transactions itself and pays the rent and network fees, and if you turn the Trough on it becomes the trough's on-chain authority instead of you (see Section 9). It still cannot access, withdraw or redirect your tokens, your SOL or your private keys, and we take no share of your coin's fees.
  • Not a broker, exchange or adviser. We do not act as your broker, dealer, agent, custodian, exchange, money transmitter or fiduciary. We do not execute trades on your behalf. Nothing on the Service is investment, financial, legal, tax or trading advice. Price, market cap, volume and ranking information is provided for information only and may be delayed, incomplete or wrong.
  • We do not issue tokens. Tokens shown on the Service are created by their launchers using the Genesis protocol, which is operated and maintained by third parties. Listing or ranking a token on the Service is not an endorsement, recommendation or representation about it.
  • Blockchain transactions are irreversible. Once a transaction is confirmed on Solana it cannot be undone by us or anyone else. Mistakes, including sending to the wrong address, buying the wrong token or setting the wrong amount, are final.

4. Wallets and custody

You can use the Service with two kinds of wallets:

  • Embedded wallets. If you sign in with email, Google or X, a Solana wallet is created for you by Privy, Inc. ("Privy"). That wallet is custodied by Privy under Privy's own terms of service and privacy policy, which you also agree to when you sign in. We do not hold the key material for embedded wallets and cannot access, freeze or recover them. If you lose access to the login method you used to create the wallet, we cannot restore it.
  • Exported keys. The Service may let you export the private key of an embedded wallet. Once you export a key, you alone are responsible for keeping it secret and safe. Anyone who obtains the key can move everything in the wallet. We are not liable for any loss arising from an exported key.
  • External wallets. If you connect a wallet you already control (for example Phantom, Solflare or Backpack), that wallet, its keys and its security are entirely your responsibility and are governed by the terms of its provider.

The "Buy with card / exchange" option opens a funding flow operated by Privy and its third-party on-ramp partners. Those services have their own terms, fees, identity checks and limits. We are not a party to any purchase you make through them.

5. Trading risks

Tokens can go to zero. Nothing on Slop is financial advice. By using the Service you confirm that you understand and accept the following risks, and that you are able to bear a total loss of everything you put in.

  • Volatility and total loss. Tokens on the Service are highly speculative, often have no utility, and can lose all of their value within seconds. Most of them will.
  • Bonding-curve mechanics. Before a token graduates, its price is set by a bonding curve inside the Genesis protocol, not by a market of buyers and sellers. Price rises as tokens are bought and falls as they are sold. Large trades move the price significantly against you. The curve parameters are set by the protocol and the launcher, not by us.
  • Graduation. When a curve fills, the protocol may migrate the token to a decentralized exchange. Timing, pool creation, liquidity and post-graduation trading are controlled by the protocol and third-party venues. Graduation is not guaranteed and may fail or stall.
  • No liquidity guarantee. There may be no buyer for a token when you want to sell it, at any price. Graduated tokens may trade on venues with thin or no liquidity.
  • Slippage and MEV. The price you see is a quote, not a guarantee. The executed price may be worse because of other transactions confirmed before yours, including automated front-running, back-running and sandwich attacks. Slippage settings limit but do not eliminate this.
  • Smart-contract and network risk. The Genesis protocol, Solana, wallet software, aggregators and RPC providers may contain bugs, be exploited, halt or change. We do not audit or control them.
  • Launcher risk. Anyone can launch a token. Launchers may hold large supply, sell into buyers, abandon the token or misrepresent it. The Service shows what is on chain; it does not verify claims.
  • Regulatory risk. The legal treatment of tokens and of services like this one is uncertain and changing. Future rules may restrict or prohibit your ability to use the Service or hold tokens.

6. Fees

Trades on a bonding curve carry a protocol fee and a creator fee that are set by, and collected through, the Genesis protocol. The Service displays these fees in the trade sheet before you sign. Trades on graduated tokens are routed through third-party aggregators and venues that charge their own fees. Every transaction also requires Solana network fees, which are paid to validators and not to us. Fee rates may change without notice, and fees are not refundable. If we introduce fees of our own we will disclose them in the Service before they apply.

7. Token launches and user content

When you launch a token, you supply or approve a name, ticker, description and image ("Content"), the Service uploads the image and metadata to Arweave through Irys, and your wallet signs the transactions that create the token through the Metaplex launch API. You, not we, are the creator and publisher of the token and its Content.

  • Your representations. By launching a token you represent that you own or have all rights needed to use and publish the Content, that the Content does not infringe any copyright, trademark, right of publicity or other right, and that publishing it does not break any law or these Terms.
  • Prohibited Content. You may not launch tokens or publish Content that impersonates any person, company, project or token; uses a name, logo or trademark you do not have the right to use; depicts or refers to a real person without their consent; is sexual content involving minors; is harassing, hateful, threatening or defamatory; promotes violence or illegal activity; contains malware or deceptive links; or is otherwise illegal.
  • Permanence. Images and metadata are stored on Arweave, a permanent decentralized storage network, and token records live on the Solana blockchain. Neither we nor anyone else can delete them. Do not publish anything you may later want removed.
  • License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, cache, resize, reproduce, display and distribute your Content in connection with operating, promoting and improving the Service, including in feeds, previews and share images. This license lasts as long as the Content exists on chain or on Arweave, because we cannot remove it from there.
  • AI-generated drafts. The Service can generate a draft name, ticker, description and logo from a prompt you write, using a third-party AI model. Drafts are unvetted suggestions. They may be inaccurate, may resemble existing names, marks or people, and may not be suitable for use. You must review and edit every draft before launching it. By launching a token based on a draft you adopt the Content as your own and take full responsibility for it as its publisher.
  • Our rights. We may, at our discretion and without notice, hide or remove any token from our feeds, previews and search, and restrict any account, if we believe Content or a token breaks these Terms or the law. Removal from the Service does not remove anything from the blockchain or Arweave.

8. Prohibited conduct

You agree not to, and not to help anyone else to:

  • engage in market manipulation of any kind, including wash trading, spoofing, layering, pump-and-dump schemes, coordinated trading meant to mislead others, or trading intended to game rankings, promotional pools or other features of the Service;
  • use bots, scripts or automated tools in a way that abuses the Service, degrades it for others, circumvents rate limits or exploits bugs;
  • evade sanctions or use the Service on behalf of a sanctioned person or from a restricted jurisdiction, including by using a VPN, proxy or other tool to hide or misrepresent your location;
  • scrape, crawl or bulk-download the Service or its APIs except as we expressly permit;
  • attempt to gain unauthorized access to the Service, other users' wallets or accounts, or the systems of our providers; probe, scan or test the vulnerability of any system without permission; or introduce malware;
  • phish, defraud, impersonate or mislead other users, or launch tokens designed to deceive people into buying them;
  • reverse engineer or copy any part of the Service that is not open source;
  • use the Service in violation of any law, or to launder money or finance terrorism; or
  • interfere with the Service or other users' use of it in any other way.

9. The Trough (creator fee sharing)

A launcher may choose at launch to direct the coin's creator fees to an on-chain fee-sharing account (a "trough", implemented as a Hydra fanout program account on Solana) instead of to their own wallet. Holders of that coin may stake it into the trough, and the program splits the creator fees that arrive afterwards among stakers in proportion to what each has staked, as computed by the program. The rules of that program, as described at /trough/rules, are the whole of the arrangement.

  • We are not a party to it. The trough is created by the launcher with their own key and is owned by the program. We do not hold, pool, control or pay out any of the fees, and we do not decide who receives what. We operate a scheduled "crank" that sends permissionless claim and distribute instructions and pays their network fees; anyone can send the same instructions, and any staker can distribute to themselves at any time. The exception is a launch made through our promotional "free launch" service, when offered: there, we create the trough with our own key and hold its on-chain authority instead of the launcher. That authority has no instruction to withdraw or claim fees, and we do not use it to do either; it reaches only settings the trough program itself allows an authority to change, which on paper may include adjusting how a stake is recorded without that holder's own signature. It cannot take funds out of the trough.
  • No promise of anything. What a trough receives depends entirely on trading in that coin and may be nothing. Staking is not an investment contract with us, and nothing about a trough is a return, yield, reward or prize offered by us. Rankings and badges on the Service are informational placement only.
  • Your choices are final. The launcher's choice of fee destination is made on-chain at launch and may not be changeable afterwards. Staked coins leave your wallet and cannot be sold until you unstake them; you may unstake at any time, subject to the program's rules and network conditions.
  • Program risk. The fanout program, the Genesis protocol and the Solana network are third-party software. Bugs, upgrades, congestion or failed transactions may delay, reduce or prevent distributions. We may pause, change or stop our crank and our Trough surfaces at any time, with or without notice; the on-chain accounts keep working without us.
  • Availability. Trough surfaces are not offered to residents of the restricted jurisdictions listed in Section 2.

10. Third-party services

The Service depends on services we do not own or control, including the Solana network and RPC providers, the Metaplex Genesis protocol and Metaplex APIs, Privy, Irys and Arweave, Jupiter, on-ramp providers, wallet providers, AI model providers and hosting and content-delivery providers. Your use of those services is subject to their own terms and policies. We are not responsible for their availability, accuracy, security, fees or conduct, and we make no promises about them. Links to third-party sites are provided for convenience and are not endorsements.

11. Relationship to Metaplex

Slop is an independent project and a parody. The "Meatplex" name and the "Slop" branding are ours. We are not affiliated with, endorsed by, sponsored by or otherwise connected to the Metaplex Foundation, Metaplex Studios or any operator of metaplex.com, and none of them has reviewed or approved the Service. "Metaplex" and "Genesis" are trademarks of their respective owners; we use them only to describe the protocol and APIs the Service is built on and interoperates with. Tokens shown on the Service are read from public protocol data and public APIs; their appearance on metaplex.com, or ours, is not an endorsement by anyone. Metaplex has no responsibility for the Service, its content or your use of it.

12. Intellectual property and DMCA

The Service, including its name, design, code (except open-source components under their own licenses and third-party marks noted above), text and graphics, is owned by us or our licensors and is protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms. We reserve all other rights.

We respond to notices of alleged copyright infringement and other claims about Content under the Digital Millennium Copyright Act and similar laws. If you believe Content on the Service infringes your rights, or impersonates you, send a notice as described on our Report content / DMCA page. We may remove or hide the Content from the Service, and may terminate repeat infringers, but we cannot remove anything from the blockchain or Arweave.

13. Taxes

You are solely responsible for determining what taxes, if any, apply to your trades, launches, fee income, promotional payouts and other activity through the Service, and for reporting and paying them. We do not withhold taxes, provide tax reports or give tax advice.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY TRANSACTION WILL BE CONFIRMED OR EXECUTED AT ANY PARTICULAR PRICE, OR THAT ANY TOKEN, PRICE, RANKING OR OTHER INFORMATION IS COMPLETE OR CORRECT. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, TOKENS, DIGITAL ASSETS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS (USD 100) OR (B) THE FEES YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FEES PAID TO THE PROTOCOL, TO LAUNCHERS, TO VALIDATORS OR TO THIRD PARTIES ARE NOT FEES PAID TO US.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions the limits above apply to the maximum extent permitted, and nothing in these Terms excludes liability that cannot be excluded by law.

16. Indemnification

You will defend, indemnify and hold harmless Slop, its affiliates, and its and their officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or relating to: your use of the Service; your Content and any token you launch; your breach of these Terms or of any law; your violation of any third party's rights; or any dispute between you and another user or third party. We may take over the defense of any matter subject to indemnification, in which case you will cooperate with us.

17. Dispute resolution

Informal resolution first. Before starting a formal proceeding, you agree to email us at legal@meatplex.com with a description of the dispute and what you want, and to give us 30 days to try to resolve it with you.

Binding arbitration. If we cannot resolve the dispute informally, any dispute, claim or controversy arising out of or relating to these Terms or the Service, including its formation, validity, enforceability or scope, and including claims against our affiliates, will be resolved by binding individual arbitration rather than in court. The arbitration will be administered by a recognized arbitration provider under its consumer rules, conducted in English, and may take place by video conference or in writing. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation or enforceability of this Section, except that a court may decide whether the class action waiver below is enforceable. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this waiver is found unenforceable for a particular claim, that claim must be brought in court, and the rest of this Section still applies to all other claims.

Small claims carve-out. Either party may bring an individual claim in small claims court if the claim qualifies and stays in that court.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@meatplex.com within 30 days of first accepting these Terms, with the subject line "Arbitration opt-out" and your wallet address or the email you sign in with. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any claim must be filed within one year after it arose, or it is permanently barred.

18. Termination

You may stop using the Service at any time. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we believe you have broken these Terms, if required by law, or if we discontinue the Service. Because the Service is non-custodial, termination does not affect tokens or SOL in your wallet, which you can access with other software. Sections that by their nature should survive termination, including Sections 3 through 7 and 11 through 18, will survive.

19. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements.
  • Severability. If any part of these Terms is held invalid or unenforceable, that part will be enforced to the maximum extent permitted and the rest of the Terms will remain in full effect.
  • Assignment. You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction, including to an affiliate or a successor.
  • No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.
  • Force majeure. We are not liable for any failure or delay caused by events outside our reasonable control, including network outages, blockchain congestion or forks, and third-party service failures.
  • Notices. We may notify you through the Service or the contact details linked to your login. You can contact us about these Terms at legal@meatplex.com.
